1. Acceptance of Terms

By accessing or using the AltIQ platform at altiqnetwork.com (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and AltIQ.

2. Description of Service

AltIQ is a professional networking and directory platform for participants in the private markets and alternative investment industry, including fund managers, sponsors, registered investment advisors, broker-dealers, placement agents, and service providers. The Service enables users to create profiles, discover counterparties, and make direct connections.

3. Eligibility

The Service is intended for professionals operating in the financial services industry. By registering, you represent that you are at least 18 years of age, have the authority to bind any organization on whose behalf you are registering, and will use the Service solely for lawful business purposes.

4. Account Registration

You must register an account to access most features of the Service. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Keep your password confidential and not share access credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

5. Acceptable Use

You agree not to use the Service to:

6. Content and Profiles

You retain ownership of content you submit to the Service. By submitting content, you grant AltIQ a worldwide, non-exclusive, royalty-free license to display, distribute, and make available your content as part of the Service.

You are solely responsible for the accuracy and completeness of your profile information. AltIQ does not verify the credentials, licenses, or regulatory status of platform participants. Users are responsible for conducting their own due diligence before entering into any business relationship.

7. No Investment Advice

AltIQ is a networking and directory platform only. Nothing on the Service constitutes investment advice, a recommendation to buy or sell securities, or an endorsement of any platform participant. AltIQ is not a registered investment advisor, broker-dealer, or placement agent. Users are responsible for complying with all applicable securities laws in connection with any activity facilitated through the platform.

8. Intellectual Property

The Service and its original content (excluding user-submitted content), features, and functionality are owned by AltIQ and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of the Service without express written consent.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ALTIQ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALTIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ALTIQ’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO ALTIQ IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Termination

AltIQ reserves the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion, with or without notice. You may terminate your account at any time by contacting us at hello@altiqnetwork.com.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
